These Terms of Use ("Terms") are a binding agreement between you and Commission Crowd Ltd. ("CommissionCrowd", "we", "our" or "us") governing your use of our website, software, platform, applications, and related services (collectively, the "Services"). By using our Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
PART I – SUPPLEMENTAL LEGAL TERMS (ALL USERS)

Eligibility and Account Use
You must be at least 18 years old to register for an account and use the Services. By registering, you confirm that you meet this age requirement. If you are under 18, you may only use the Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
You must register for an account and provide truthful, accurate, and current information. You agree to keep this information updated.
For organization accounts, the designated administrator(s) assume full control and responsibility. It is your responsibility to ensure administrator access is secure and recoverable.

Permitted Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services. You agree not to:
- Use the Services in a way that violates applicable law or regulation
- Sell, resell, lease, or sublicense the Services
- Use the Services to store or transmit malicious code or unlawful material
- Attempt unauthorized access to our systems or those of other users
- Reverse engineer, decompile, or attempt to derive the source code of any part of the Services
- Copy, mirror, frame, or otherwise exploit the Services in a way not permitted by these Terms
- Use any data mining, bots, scraping, or similar methods to extract data from the Services

Force Majeure
CommissionCrowd is not liable for service interruptions caused by events beyond our control including natural disasters, technical outages, governmental actions, or other force majeure events.

Disclaimers and Limitations
We provide all Services "as-is." CommissionCrowd disclaims all warranties. We are not liable for indirect, incidental, special, or consequential damages arising from your use of the Services.

Indemnification
You agree to defend, indemnify, and hold harmless CommissionCrowd, its affiliates, licensors, and service providers from and against any claims, liabilities, losses, and expenses (including legal fees) arising from your violation of these Terms or misuse of the Services.

Governing Law
These Terms are governed by the laws of the United Kingdom. CommissionCrowd Ltd. is registered in Inverness, Scotland. All legal proceedings will fall under the exclusive jurisdiction of the Scottish courts.

Entire Agreement and Modification
These Terms constitute the entire agreement between you and CommissionCrowd with respect to the Services and supersede all prior agreements, understandings, or representations, whether oral or written. In the event of any conflict between these Terms and any general platform usage terms, these Terms shall control.
CommissionCrowd may update these Terms from time to time. Material changes will be communicated via the platform or email. Continued use of the Services after such updates constitutes acceptance of the revised Terms. These Terms constitute the entire agreement between you and CommissionCrowd with respect to the Services and supersede all prior agreements, understandings, or representations, whether oral or written. In the event of any conflict between these Terms and any general platform usage terms, these Terms shall control.

Waiver and Severability
No waiver by CommissionCrowd of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or any other term. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMMISSIONCROWD, ITS AFFILIATES, EMPLOYEES, AGENTS, OFFICERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
- UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

No Warranty
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. COMMISSIONCROWD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION OBTAINED BY YOU FROM COMMISSIONCROWD SHALL CREATE ANY WARRANTY.

Export Controls
You may not use or otherwise export or re-export the Services except as authorized by United Kingdom law and the laws of the jurisdiction in which the Services were obtained. You agree to comply with all applicable export and re-export control laws and regulations.

Data Ownership and Processing
You retain ownership of all content and data stored in your account. By using our Services, you grant CommissionCrowd a limited license to access and use this data solely to deliver the Services.
CommissionCrowd processes personal data in accordance with applicable data protection laws, including the UK GDPR and Data Protection Act 2018. Termination and Inactive Accounts
We reserve the right to suspend or terminate accounts:
- For breach of these Terms
- If inactive for 120 consecutive days

PART II – COMPANY / SALES OPPORTUNITY TERMS

Subscription and Membership
Use of the Services may require a paid subscription. You agree to:
- Pay the applicable Subscription Fees per your selected plan
- Maintain a valid payment method
- Acknowledge that all subscriptions are non-refundable once a billing cycle has started
Your subscription auto-renews unless cancelled in writing prior to the renewal date. All membership plans are subject to a minimum initial commitment of 12 months unless otherwise stated.

Membership Plans and Offers
CommissionCrowd offers Premium Memberships which may include access to features such as done-for-you outreach, sales opportunity creation, and other growth services. These offers may be offered as monthly, quarterly, annual, or lifetime payment plan structures.
Memberships may be purchased either:
- Directly through our platform (e.g., annual Basic or Premium Memberships)
- Via external links (e.g., promotional offers provided through Stripe checkout)
Platform-purchased memberships remain governed by the scope of services detailed clearly at the time of purchase within the application and reflect standard service inclusions.
Externally linked or special offer memberships are governed strictly by the terms presented at the point of purchase or via the emails which act as documentation for the scope of the membership.
The payment plan selected at the time of purchase governs your obligation. These terms include:
- A minimum 12-month commitment (unless otherwise stated)
- No refunds or credits for unused services or early cancellation
- Auto-renewal unless cancelled in writing before term ends
A 1% Success Fee is payable to CommissionCrowd on all:
- Commissions paid to agents introduced through our platform
- Fees paid for referrals, introductions, or broker-style contributions
This fee applies for the full lifetime of the relationship. It is in addition to the agent's commission and is automatically added to agent invoices where supported.
Where Stripe Connect is unavailable, you agree to manually fulfill this fee upon request.
2.2 Application Guarantee (if applicable)Some Premium Memberships include an agent application guarantee during a specific outreach period. To qualify, you must:
- Provide continuous login access
- Maintain up-to-date listings
Failure to comply forfeits this guarantee.
2.3 Outreach and Interview ParticipationIf outreach or a blog interview is included, you agree to:
- Participate actively
- Return survey responses where applicable
CommissionCrowd is not obligated to fulfill these services without participation.
2.4 Lifetime Membership ClarificationNo membership is considered lifetime unless explicitly stated as such during purchase.

Responsibility for Agents
You are responsible for:
- Verifying the credentials and conduct of any agent you connect with
- Reporting unprofessional behavior or agents not operating on a commission-only basis
CommissionCrowd does not vet every agent. We facilitate introductions but make no guarantees on outcomes.
PART III – SALES AGENT TERMS
The following terms apply specifically to sales agents using the CommissionCrowd platform and form part of the binding agreement between the agent and CommissionCrowd.

Sales Agent Code Of Conduct
- Commission-Only Commitment: Operate solely on a commission-only basis unless explicitly disclosed and mutually agreed upon with a company.
- Trust-Based Representation: Engage with companies to build long or short-term, trust-based relationships that reflect the integrity and values of the CommissionCrowd platform.
- Professional Representation: Accurately and honestly represent your experience, sales abilities, and areas of expertise at all times.
- Direct Communication: Communicate professionally with company principals through the platform and conduct all new business activity via CommissionCrowd where possible.
- Prompt Communication: Respond to messages, emails, and calls within 24–48 hours, and follow up on leads and inquiries in a timely and reliable manner.
- Platform CRM Usage: Use CommissionCrowd’s CRM to manage leads and opportunities. If using an external CRM, connect it via our Zapier integration to maintain data accuracy and visibility.
- Platform Presence Log into your CommissionCrowd account at least once every two weeks to stay up to date with new opportunities and relevant notifications.

Payment Setup & Processing:
- Add your bank details via Stripe where Stripe Connect is available (our secure payment provider) to enable fast and safe commission payments.CommissionCrowd and client companies will never have access to your financial data. Stripe is PCI Level 1 certified, ensuring industry-leading payment security.
- Raising Invoices: Submit all commission invoices through CommissionCrowd where Stripe Connect is available, ensuring timely, trackable payment processing with connected sales opportunities.

Profile Maintenance:
- Keep your profile up to date with your latest sales achievements, relevant industry experience, and professional contact details.
- Ensure your profile is professionally presented to build trust and enhance credibility.

Confidentiality and Data Security:
- Treat all client and company information as confidential.
- Do not disclose sensitive data without explicit authorization.
- Use secure systems to store or transmit any confidential material.

Continuous Development:
- Consider participating in training and development opportunities provided by CommissionCrowd or company partners to enhance your effectiveness.
- Actively seek and apply feedback to improve performance.

Professional Conduct:
- Conduct all sales activities ethically, without misrepresentation or deception.
- Interact respectfully and courteously with clients, prospects, colleagues, and company stakeholders.

Conflict Resolution:
- Address disputes or misunderstandings professionally.
- Raise concerns through the appropriate CommissionCrowd channels (e.g., support@commissioncrowd.com) for mediation and resolution.

No Guaranteed Placement or Income
Agents acknowledge that CommissionCrowd does not guarantee any form of employment, placement, or earnings. The platform serves exclusively as a facilitator of introductions between companies and independent sales agents. All compensation arrangements are agreed directly between companies and agents and are contingent on performance.
